Description:
This Assignment concerns the appointment of a commissioner. The task of the commissioner consists of monitoring the financial situation, the annual accounts, and compliance with the Companies and Associations Code (the CAC) and the statutes of De Werkvennootschap. Currently, De Werkvennootschap hasno subsidiaries. However, if one or more subsidiaries are established during the period for which the commissioner is appointed, the commissioner may also be appointed for these companies. The review and control of the annual accounts to be prepared and published by De Werkvennootschap from thefinancial year 2025 onwards is also part of the commissioner's assignment. The commissioner will also be required to provide an annual explanation to the Board of Directors regarding the financial situation of the company "De Werkvennootschap". Furthermore, all applicable legislation relevant to therequested services within this Assignment is highlighted. This includes: • Regulations applicable within the framework of the 'Rekendecreet' and 'single audit': o Decree containing the Flemish Codex of Public Finances of March 29, 2019; o Decision of the Flemish Government implementing the FlemishCodex of Public Finances of March 29, 2019. • Regulations applicable to auditors: o Companies Code (specifically articles 3:58 CAC et seq.); o Law of December 7, 2016, on the organization of the profession of and public supervision of auditors; o Royal Decree of August 17, 2018, concerning access tothe profession of auditor; o Standards and international standards applicable to the assignment, opinions, circulars, and communications from the Institute of Auditors. Bidders are reminded of the strict reporting date at the end of March by which the ESR annual accounts must be approved by the Boardof Directors of De Werkvennootschap and the audit report must be prepared.
